1. Acceptance of Terms

By accessing or using AdStellar’s website, app, or any related services (collectively, the “Service”), you (“User”, “you”, or “your”) agree to be bound by these Terms of Service and our Privacy Policy.
If you do not agree, do not use the Service.

2. Description of Service

AdStellar is a AI platform that enable you to launch ad campaigns based on performance data. AI analyzes your top-performing creatives, headlines, and audiences — then builds, tests, and launches new ad variations for you at scale.

Users are solely responsible for publishing campaigns on ad platforms.

3. Eligibility

You must be at least 18 years old and capable of entering into legally binding agreements to use IndexPilot. By using the Service, you represent and warrant that you meet these requirements.

4. Account Registration and Security

You are responsible for:

  • Maintaining the confidentiality of your account credentials.

  • All activity that occurs under your account.

  • Ensuring any data or websites connected to AdStellar (e.g., via Meta) are owned or managed by you.

AdStellar is not liable for any loss or damage from unauthorized access to your account.

5. User Responsibilities

You agree not to use the Service for:

  • Generating or distributing content that violates any law or infringes on intellectual property rights.

  • Creating or promoting defamatory, harmful, or misleading content.

  • Attempting to bypass AdStellar’s systems or abuse integrations.

  • Uploading or linking malicious code or spam-related material.

You retain ownership of all ad content that you create or publish using AdStellar but grant us a limited license to host, process, and analyze that content solely to operate and improve the Service.

6. Intellectual Property

All intellectual property rights in AdStellar, including the platform, UI/UX, APIs, code, models, AI training prompts, and proprietary algorithms, remain the exclusive property of AdStellar.

Users retain ownership of their generated or uploaded content but are responsible for ensuring that such content complies with applicable laws and does not infringe upon third-party rights.

7. Third-Party Integrations

AdStellar integrates with third-party platforms such as Meta.

You acknowledge that:

  • These integrations are provided “as-is” and may change or break at any time.

  • AdStellar is not liable for any errors, delays, or data loss resulting from third-party APIs or service interruptions.

  • Your use of third-party platforms is governed by their own terms and privacy policies.

8. Payments and Subscription Terms

AdStellar operates on a subscription basis.

By subscribing:

  • You agree to pay the applicable fees displayed at checkout.

  • Payments are processed securely through Stripe.

  • Subscriptions automatically renew unless canceled prior to the renewal date.

  • Fees are non-refundable except where required by law.

If you are on a trial plan, the trial will automatically convert to a paid subscription unless canceled before the trial period ends.

9. Service Availability and Modifications

We may modify, suspend, or discontinue any part of the Service at any time without notice.
We are not responsible for any loss, data deletion, or interruption resulting from maintenance, outages, or technical issues.

10. Limitation of Liability

To the fullest extent permitted by law:

  • AdStellar and its officers, employees, and affiliates are not liable for any indirect, incidental, consequential, special, or punitive damages, including loss of profits, data, reputation, or business opportunities.

  • Our total liability under these Terms will not exceed the amount paid by you to AdStellar in the six (6) months preceding the claim.

You agree to indemnify and hold harmless AdStellar from any claims, liabilities, damages, or expenses (including legal fees) arising from your use of the Service or violation of these Terms.

11. No Warranty

The Service is provided “as-is” and “as available.”
AdStellar makes no warranties, express or implied, regarding:

  • The accuracy, completeness, or reliability of AI-generated content.

  • The availability or performance of the Service.

  • The ranking or indexing outcomes in search engines.

  • Compliance with search engine algorithms or SEO guidelines.

You use the Service entirely at your own risk.

12. Termination

You may cancel your account at any time through your dashboard or by contacting support.

We may suspend or terminate your account if you:

  • Breach these Terms,

  • Abuse the Service,

  • Engage in unlawful activity, or

  • Create risk or potential legal exposure for AdStellar.

Upon termination, your access will be revoked, and your content may be deleted after 30 days.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania, without regard to conflict-of-law principles.

Any disputes shall be resolved exclusively in the state or federal courts located in Philadelphia, Pennsylvania, USA.

14. Changes to Terms

We may update these Terms from time to time. When changes are made, we will revise the “Effective Date” and notify users via email or dashboard notice. Continued use of the Service after such notice constitutes acceptance of the updated Terms.
